Have you looked inside a P4 system?  Pictures are up at several websites. 
The heatsink is so massive that it has to be anchored to the case; having it
hang off the motherboard would more than likely rip the socket off of the
motherboard!  As a result, you would more than likely need a new case
(though Asus ships a metal adapter plate with its board that mounts in a
normal ATX case).  Of course, with the P4 being such an abysmal performer
for what you'd pay for it, it isn't exactly flying off the shelves.

(ObOnTopic: I suppose if you did allow yourself to be suckered in to buying
a P4, you could gut your old system and stick a IIGS motherboard inside to
make a "tower GS.")
