Universal File Converter (UFC) can do the 1st and part of the 2nd
requirement. UFC can transfer between 3.3, CP/M, ProDOS and Pascal. It's a
Pascal based program.

I don't think you can make a bootable CP/M disk on any CP/M system for the
Apple unless you have the utility disk that came with each particular Z80
card.
For example a bootable Microsoft CP/M disk made for the Microsoft Z80 card
won't work on the PCPI card and visa versa. Although you can read the files
off the disk after it is booted.
BTW: I have a PCPI card and a MS compat. Z80 card and UFC.
