Try dialing the modem manually (go to Online/Parameters and change Offline to
Online just like you do after you connect, currently, and then type the dial
command yourself -- e.g. atdt5551212).  When it connects, what does it display
on your screen?  My bet is it says "CARRIER 14400" or something like that.
Proterm expects to see a "CONNECT xxxxx" line, and if your modem only sends
the CARRIER line, Proterm will ignore it.  It's really easy to set your modem
up to send the CARRIER xxxxx result, but I don't have my modem manual handy,
so I can't give you the commands right now.  You should be able to find it in
your manual, though.
