The comp.sys.apple2 FAQ, which Nathan Mates maintains, should cover
that in detail (http://www.visi.com/~nathan/a2/). If I can find the time
to get back to it, I'll most likely have a section on file exchanging in
my IIGS FAQ too.

Sounds like you have everything you need, assuming you you have a
serial cable on the IBM side as well. Just link the two serial cables
together, with the null-modem adapter in-between, and you should be
all set hardware wise (whatever COMM port your using on the PC with a
modem should be fine).
Load up terminal software on each end, setting _both_ to 57.6K
(8N1 setting is fine) and if you've done everything right, you what
you type on one keyboard, should appear on the other computer's
screen. ProTERM or Spectrum are good terminal software for the Apple
side, Terminate or ProComm Plus for the PC side for DOS (or you can
use HyperTerminal which is part of Windows 95). I'm not certain if a
hardware handshaking wired cable is needed on the IIgs end for
null-modeming at high port speeds, if it is you may experience some
catches (can someone verify whether it is necessary?).

Sure, that would work, transferring data by phone line (or even
linking the phone chord between the two modems directly) but this is
going to be _much_ slower of course.
If you want to transfer files, you can zmodem them over once the
systems are connected to each other. You can also use a machine as a
dumb-terminal, and log into the other if you have Linux installed on
the PC or GNO/ME on the IIgs. :)
