The NTSC IIe takes a standard 2732 CharGen while the PAL IIe takes a
2764.
You would only need a 68764 if wou want both original and MouseText
character sets available at the same time on an NTSC IIe (and you
would need to add a switch).

Adding the 65C02 will allow you to run the v2.0.x ProDOS 8 versions
(the 6502 can only run up to v1.9).
